Terms of Service

These Terms of Service and the Acceptable Use Policy (together, the "Terms") are a binding agreement between Technology On Call ("Technology On Call", "we", "us") and the individual or entity that creates an account, purchases a scan, or otherwise uses the Law-O-Matic service at law-o-matic.com (the "Service"). In these Terms, "Customer" and "you" mean that individual or entity.
By creating an account, purchasing a scan, or using any part of the Service, you accept these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind it. If you do not accept these Terms, do not use the Service.
1. What the Service is, and what it is not
The Service scans a web address you supply and reports observable signals that commonly correspond to legal, regulatory and security obligations. It may also generate draft documents and configuration files intended as a starting point for remediation.
Technology On Call is not a law firm, and no part of the Service is legal advice. Using the Service does not create an attorney-client relationship, and nothing produced by the Service is privileged. Reports describe what an automated tool observed on a website at a point in time. They are not legal conclusions, not a compliance certification, and not a substitute for advice from a licensed attorney who knows your business, your jurisdiction, and your facts.
Automated scanning is inherently incomplete. The Service may report a signal that turns out not to be a problem, and it may miss a problem entirely. Laws change, sites change, and the Service evaluates only what is publicly reachable from the address you supply. You must not treat a clean report as evidence that a site is compliant.
2. Accounts
Some features require an account. You are responsible for the accuracy of your account information, for the security of your credentials, and for all activity under your account. Notify us promptly at [email protected] if you believe your account has been compromised. We may suspend an account we reasonably believe is being used in breach of these Terms.
3. Purchases, pricing and refunds
The Service is sold on a pay-per-use basis. The price, the unit of purchase (for example, one scan of one domain), and any included re-scans or fix-file generations are as displayed at the time of purchase. Prices are exclusive of taxes unless stated, and you are responsible for any applicable taxes.
A purchased scan entitles you to scan the specific domain identified at purchase. It does not entitle you to scan other domains, to resell the scan, or to run the same purchase against multiple sites.
Because each scan consumes real compute and delivers its result immediately, purchases are non-refundable once the scan has been delivered, except where a refund is required by law or where the Service failed to deliver a report at all. If a scan fails for technical reasons on our side, we will re-run it or refund it at our discretion.
4. Your responsibilities regarding scanned sites
This section is the most important one in the agreement, and you should read it carefully.
You represent and warrant that, for every address you submit, you either own or operate the site, or you have obtained authorization from the person who does, sufficient to permit automated access and analysis of that site by a third party on your behalf. You agree to provide evidence of that authorization on our reasonable request.
You must not submit addresses for sites you have no relationship with, and you must not use the Service to probe, profile, or build a competitive dossier on a site you do not control. Unauthorized automated access to computer systems can carry civil and criminal liability, and by using the Service you accept responsibility for the authorization behind each address you submit.
You agree to indemnify and hold Technology On Call harmless from any claim arising out of a scan of a site you were not authorized to submit.
5. Fix files and generated artifacts
When you generate fix files, we grant you a perpetual, worldwide, non-exclusive, royalty-free license to use, modify and publish those specific generated artifacts on websites you own or operate, including after your account ends. That license is yours to keep; you do not need an active account to keep using a policy document we drafted for you.
That license does not extend to reselling the artifacts as a product, distributing them as templates, incorporating them into a competing service, or providing them to third parties as a stand-alone deliverable divorced from work you perform for that third party. An agency using Law-O-Matic on behalf of its own clients is expressly permitted, provided the agency is authorized to act for each scanned site and does not resell raw fix files as a catalogue.
Generated artifacts are drafts. They are produced by automated means from patterns observed on your site, they contain placeholders and assumptions, and they require review before publication. Publishing a generated policy without reading it is your decision and your risk. In particular, a privacy policy that describes practices you do not actually follow can create exposure that did not exist before.
6. Intellectual property
The Service — including its software, detection rules, scoring logic, report structure, remediation templates, prompts, and the selection and arrangement of all of it — is owned by Technology On Call and protected by copyright, trade secret and other laws. These Terms grant you a limited right to use the Service as offered. They grant you no ownership of, license to, or interest in the Service itself. All rights not expressly granted are reserved.
"Law-O-Matic" and the Law-O-Matic logo are trademarks of Technology On Call. You may not use them without our prior written permission, except to refer factually to the Service.
You retain ownership of the content of your own website. You grant us only the limited right to access, retrieve, process and store that content as necessary to perform the scan and produce your report, and to retain the resulting report for your account history.
7. Confidentiality of reports
Your reports and the addresses you scan are treated as confidential to your account. We do not sell them and do not publish them. We may use aggregated, de-identified statistics derived from scans to improve the Service and to describe the Service publicly, provided no individual customer or site is identifiable.
8. Availability, changes and data retention
We aim to keep the Service available but do not guarantee uninterrupted operation. We may modify, suspend or discontinue any part of the Service. If we discontinue the Service entirely, we will give reasonable notice and a window in which you can export your existing reports.
We retain reports for as long as your account is active, and for a reasonable period afterwards. You may request deletion of your reports at any time by contacting us.
9. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, Technology On Call disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not warrant that the Service will identify every compliance issue on a site, that reported signals are accurate in every case, that generated artifacts are suitable for your circumstances, or that acting on a report will bring any site into compliance with any law.
10. Limitation of liability
To the maximum extent permitted by law, Technology On Call will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, regulatory penalties, or the cost of substitute services, arising out of or relating to the Service, on any theory of liability, even if advised of the possibility.
Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100).
Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.
11. Indemnity
You will defend, indemnify and hold harmless Technology On Call and its personnel from any claim, damage, loss or expense (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, your lack of authorization to scan a submitted address, or your publication of a generated artifact.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if your use creates risk for us or for others. On termination, your right to use the Service ends. The license granted to you in Section 5 for already-generated artifacts survives, as do Sections 6, 9, 10, 11 and 13.
13. Governing law and disputes
These Terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws rules. You and Technology On Call agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Connecticut, and each party consents to the personal jurisdiction of those courts.
Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
14. General
These Terms, together with the Acceptable Use Policy, any order confirmation, and our Privacy Policy, are the entire agreement between us regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
We may update these Terms. Material changes will be posted with a revised effective date and version number, and continued use of the Service after that date constitutes acceptance.
